SOFTWARE LICENSE AGREEMENT

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE.

1. LICENSE GRANT AND RESTRICTIONS

This Software License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and KWIP AI LIMITED for the software product ("Software") that accompanies this Agreement.

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

KWIP AI LIMITED grants you a non-exclusive, non-transferable license to use the Software on a single computer or device. You may make one copy of the Software solely for backup or archival purposes.

The Software is owned by KWIP AI LIMITED and is protected by copyright laws and international treaty provisions. You acknowledge that no title to the intellectual property in the Software is transferred to you. You further acknowledge that title and full ownership rights to the Software will remain the exclusive property of KWIP AI LIMITED and you will not acquire any rights to the Software except as expressly set forth in this Agreement.

3. RESTRICTIONS

You may NOT:

  • Redistribute, share, lease, rent, sublicense, or resell the Software
  • Modify, translate, reverse engineer, decompile, or disassemble the Software
  • Create derivative works based on the Software
  • Remove or alter any copyright notices or other proprietary markings
  • Transfer your license rights to any other party
  • Use the Software in any manner that violates applicable law

4. TERMINATION

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.

5. DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. KWIP AI LIMITED DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL KWIP AI LIMITED BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF KWIP AI LIMITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. GOVERNING LAW

This Agreement shall be governed by the laws of the jurisdiction in which KWIP AI LIMITED is registered, excluding its conflicts of law rules.

8. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and KWIP AI LIMITED regarding the Software and supersedes all prior agreements, representations, or understandings between you and KWIP AI LIMITED regarding the Software.
